How can I verify my corporate structure?

What do we need to verify?

We need to verify the following:

  • All directors and all major shareholders (with >25% ownership) of your company, including indirect owners
  • All major shareholders (with >25% ownership) of your company including indirect owners. So, we need to verify all layers of ownership leading up to the parent owner of the structure

How to add your corporate structure

To add natural persons during onboarding:

  1. On the 'Home' screen, click the tile that requires business information and says 'Corporate structure'. Continue to the 'Add directors and shareholders' screen. Click the '+' button next to 'Add new'
  2. Choose 'Director' or 'Shareholder' (set ownership share)
  3. Once both (directors and shareholders) are added, click 'Confirm'

To add a company to your structure during onboarding:

  1. From the 'Add directors and shareholders' screen, click 'Add new', and select 'Click here' in the description
  2. You'll be asked to prove ownership and voting rights. This document must list all layers of beneficial owners, including the individual ultimate beneficial owners, directors, or CEOs of the holding company. We'll get back to you if we need more information
  3. We recommend using our ownership chart example for further guidance

In case there are no major shareholders (>25% ownership or voting rights of the company), add the CEO of the company as the shareholder.

Pre-populated directors and shareholders

We use reliable and independent sources to pre-populate your corporate structure if we find your company.

  • If the added directors and shareholders are correct, click 'Confirm'
  • To edit the details of the added directors or shareholders, click the name and click 'Edit' next to personal details
  • If you see a person or company that's neither a director nor shareholder of your business, click the name and then click 'Delete'

You can't edit corporate structure while we're verifying it, or once the structure is already verified.

Provide proof of your corporate structure

Once you've confirmed the corporate structure, click 'Verify details' to provide supporting documents. Click on each section showing as 'Requires action'. All information will be available on-screen, including which documents we accept.

We recommend highlighting key information in the files and describing the documents uploaded. The review process usually takes 24 hours, but it may take up to 5 business days.

If documents provided can't be verified using an unpaid public source, then:

  • For all documents (except share certificates, capitalisation tables, or ownership charts), we need a copy of the documents certified as a true copy
  • For share certificates, capitalisation (cap) tables, or ownership charts, we need certified documents as true content
