Cap table requirements
- Cap table should list all current shareholders, including natural persons and companies with a percentage of ownership and voting rights held individually
- Cap table should be certified as true content
- Cap table must be dated in the last 12 months
- Cap table should be signed by a notary, an external qualified lawyer, solicitor, advocate, law firm incorporated in EEA, a certified accountant registered with a professional body within EEA, an external auditor, or other certifying officers that are equivalent to a notary in a jurisdiction
My shareholders are companies
If your company is directly or indirectly owned by one or more companies, the cap table must display the complete shareholding structure all the way down to your company. This includes the individual ultimate beneficial owners and corporate owners of the holding companies.
