Cap table requirements for shareholders structure

If you need to provide a cap table or share ownership chart, you can use our example as a guide and adapt it as needed.

Cap table requirements

  • Cap table should list all current shareholders, including natural persons and companies with a percentage of ownership and voting rights held individually
  • Cap table should be signed by a director of the company, irrespective of whether they are a UBO or not, and dated in the last 12 months
  • Cap table should be signed by at least two directors (or one director if the company only has one) and dated in the last 6 months

My shareholders are companies

If your company is directly or indirectly owned by one or more companies, the cap table must display the complete shareholding structure all the way down to your company. This includes the individual ultimate beneficial owners and corporate owners of the holding companies.
